BidMax Seller Terms

1. What the Service Is

BidMax connects Florida homeowners considering the sale of a home (“you,” “Seller”) with licensed Florida real estate agents (“Agents”) who compete for the opportunity to represent you. After you submit information about your property, participating Agents may submit proposals that include a commission rate, a summary of their experience, and a marketing plan (“Proposals”). You may review Proposals, ask questions, select an Agent, or decline to proceed — entirely at your discretion.

2. Free to You; No Obligation

The Service is free to Sellers. You will never be charged a fee by us for using the Service. Submitting a request does not obligate you to select any Agent, list your property, sign any agreement, or take any other action. You may withdraw your request at any time.

3. Your Privacy; No Solicitation

We take the following approach to your information:

(a) Anonymized property profile. When your request is shared with Agents so they can prepare Proposals, it is shared in anonymized form: Agents receive information about your property’s general area and characteristics, but not your name, contact information, or street address.

(b) Contact information disclosure. Your name and contact information, and your property address, are disclosed only to the Agent you select, and only after you select them. Proposals delivered to you may include Agent contact information, and you may choose to contact any Agent directly; any information you share in Seller-initiated contact is shared at your discretion.

(c) No solicitation. Agents participating in the Service are prohibited from using the Service to solicit you outside the process described in these Terms. You will not receive unsolicited calls, emails, or visits from participating Agents as a result of submitting a request.

(d) Our collection and use of personal information is further described in our Privacy Policy, which is incorporated into these Terms.

4. How We Are Paid

We are paid only if you select an Agent through the Service and your property sale closes under a listing that results from that selection. In that case, the selected Agent’s brokerage pays a referral fee to BidMax Brokerage LLC, a licensed Florida real estate brokerage affiliated with us that exists to receive such referral fees. This fee is paid by the Agent’s brokerage — never by you — and is governed by a separate agreement between the brokerage and BidMax Brokerage LLC. BidMax Brokerage LLC does not represent buyers or sellers and will not be a party to your listing agreement.

5. We Are Not Your Agent

Neither BidMax, US Homes Technologies, BidMax Brokerage LLC, nor any of our affiliates is acting as your real estate agent or broker. We do not represent you in any transaction, are not a party to any listing agreement between you and an Agent, and do not provide real estate, legal, tax, or financial advice. Any listing agreement you sign is solely between you and the Agent’s brokerage. We do not recommend or endorse any particular Agent; any ordering or sorting of Proposals in the Service is mechanical (for example, by rate or by years of experience) and is not advice or a recommendation.

6. Proposals and Timing

We aim to deliver competitive Proposals to you within 24 hours of a verified request, but we do not guarantee the number of Proposals, their content, or the timing of their delivery. Proposals are prepared solely by Agents; we do not set, suggest, or influence any Agent’s commission rate, and rates are determined independently by each Agent. A Proposal is a commitment by the Agent to honor the submitted commission rate if selected, subject to the terms of the listing agreement you and the Agent’s brokerage subsequently execute.

7. Accuracy of Your Information; Eligibility

You represent that the information you submit is accurate, that you are at least 18 years old, and that you own the property (or are authorized by the owner) that is the subject of your request. The Service is currently available for residential properties located in Florida. We may verify your request (including by phone) and may decline or discontinue any request at our discretion.

8. No Guarantee of Outcomes

We do not guarantee that any Agent will submit a Proposal, that any particular commission rate will be offered, that your property will sell, or that any particular price or outcome will be achieved. Statements on the Service about comparing rates or potential differences in commission costs are illustrative and are not promises of savings.

9. Intellectual Property; Acceptable Use

The Service and its content are owned by us or our licensors. You agree not to misuse the Service, including by submitting false requests, scraping content, interfering with operation, or using the Service for any unlawful purpose.

10. Disclaimers; Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by law, we and our affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any acts or omissions of any Agent or brokerage, arising out of or relating to the Service. Our total liability for any claim arising out of the Service will not exceed one hundred U.S. dollars (US$100).

11. Changes to These Terms

We may update these Terms from time to time. The version in effect when you submit a request governs that request. We will post the current version, with its effective date, at BidMax.com.

12. Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Venue for any dispute arising out of these Terms shall lie in the state or federal courts located in Palm Beach County, Florida. In any action arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.
